If by "other audio channels" you mean will Aiseesoft Video Enhancer, or one of their converters let you use & output 5.1 or 7.1 audio, they should. a fade, which is the more pro solution, but that requires a video editor. Merging the audio & video can generally be done two ways - either the clips are simply joined together, which is what this sort of app does, or there's some sort of transition where they meet, e.g. one language, and of course you could never turn those subs off. That said, if the subtitles were overlaid permanently on the video, actually becoming part of the video, which is what most of these apps do, that could work, but you'd only be able to use one subtitle track, e.g. You'd do that working with the subtitles separately from the video. Subtitles as separate tracks or files are going to be a hassle no matter how you do it, because the subtitle for the 2nd clip would have to be appended to the end of the 1st subtitle, and all timings adjusted accordingly.
